Attached Assets

The attachment encompassed six categories of assets belonging to Lisa, S.A.:

• Shares in Alimentos para Animales, S.A. (45,000 shares, Certificate No. 1)
• Shares in Avícola Las Margaritas, S.A. (375 shares, Certificate No. 3)
• Shares in Administradora de Restaurantes, S.A. (12 shares, Certificate No. 3)
• Shares in Compañía Alimenticia de Centroamérica, S.A. (12 shares, Certificate No. 3)
• Shares in Importadora de Alimentos de Guatemala, S.A. (12 shares, Certificate No. 3)
• Shares in Industria Forrajera de Mazatenango, S.A. (125 shares, Certificate No. 3)
• Shares in Inversiones Empresariales, S.A. (125 shares, Certificate No. 3)
• Shares in Villamorey, S.A. (3,333 shares, Certificate No. 1)

Beyond the equity holdings, the attachment covered declared and future dividends owed to Lisa by these companies, any sums or rights accruing to Lisa in the ordinary high-value proceeding with action of sequestration that Lisa pursues against Villamorey, S.A. before the Eleventh Civil Circuit Court (<law id="pty-556-99" />), Lisa's funds deposited by Villamorey at GTC Bank, sums subject to the sequestration decreed in <doc id="pty-556-99-2008-10-27-a" /> of October 27, 2008, and Lisa's deposits at local banks.

Strategic Scope

The breadth of the attachment reflects both the magnitude of BDT's claim and the corporate structure through which Lisa held its investments in the Avícola Villalobos Group. By reaching equity stakes in eight Guatemalan and Panamanian companies alongside their financial flows (dividends, custodial funds, parallel litigation proceeds), the measure sought to secure the full universe of Lisa's recoverable assets against BDT's debt.

This attachment remained in force until April 12, 2022, when the same Court approved the parties' extrajudicial settlement and ordered the measure lifted through <doc id="pty-31638-12-2022-04-12-a" />.

Ruling

• Attachment decreed in favor of BDT Investments Inc. and against Lisa, S.A. for $19,184,680.00 over shares, dividends, bank funds, and litigation rights
• Court ordered notification to the relevant authorities
